ARTICLE I NAME
Section 1 The name of this association shall be the Mississippi Bridge Association, Inc.
Section 2 The Mississippi Bridge Association, Inc. shall be a nonprofit corporation, organized and
Conducted for the purpose of creating and maintaining interest in the game of Contract
Bridge throughout Unit 138 of the American Contract Bridge League, and of sponsoring
And conducting Contract Bridge Tournaments. Unit 138 has a total membership of 525
Members as of 5/21/04. The unit is divided into four (4 ) Districts. District I includes

200 members. Districts II,
Each. DISTRICT I includes the Mississippi counties of Hinds, Madison and Rankin.

ARTICLE II MEMBERSHIP
Section 1 Membership in the Mississippi Bridge Association, Inc. shall be open to all persons of
Good moral character who are residents of Mississippi upon payment of

Section 2 Membership shall cover a period from January 1st through December 31st.

ARTICLE
Section 1 There shall be an annual meeting of the members of the Mississippi Bridge Association,
Inc., to be held during the fall tournament, the time and place to be set by the Board of
Section 2 Other special membership meetings may be held at such times and at such place as may

advisable and necessary by the Board of

Section 3 Fifty ( 50 ) members attending such regular or special meeting shall constitute a quorum.

ARTICLE IV OFFICERS
Section 1 Officers of the Mississippi Bridge Association, Inc. shall consist of a President, Secretary
Treasurer,

Section 2 Officers shall be elected by theBoard of Directors for a term of one ( 1 ) year, beginning
immediately upon their election and continuing in office until replaced by the election of
other officers at the next annual membership meeting.
Section 3 The President shall be able to succeed himself/herself but may not serve more than

Section 4 The Secretary and the Treasurer shall be able to succeed themselves and shall be elected

Section 5 The President shall be the chief executive officer of the Mississippi Bridge Association,
Inc. The president shall preside over all membership meetings and all meetings of the

Section 6 The Secretary shall attend all membership meetings and all meetings of the Board of

Section 8 The voting delegate to the District

ARTICLE V BOARD OF DIRECTORS
Section 1 The management and control of all business and affairs of the Association shall be vested

Section 3 At the annual meeting of the Association members present shall divide themselves into

ARTICLE VI ASSOCIATION FUNDS
Section 1 No disbursements of the Associations funds shall be made without authorization, either

Section 3 In the event of final dissolution of the Association, any surplus Association funds shall

ARTICLE
Section 1 The Mississippi Bridge Association, Inc. shall be affiliated with and be a member unit of
The American Contract Bridge League, conducting all it’s tournaments according to
the rules and regulations of said American Contract Bridge League. Such affiliation with and
Membership of the ACBL may be terminated by majority vote of the members.
ARTICLE VIII AMENDMENT TO BYLAWS
Section 1 These
bylaws may be amended by a majority vote of the board of
Mississippi Bridge Association, Inc.
ARTICLE IX ADDITIONAL MEMBERS
Section 1 If any member of the Mississippi Bridge Association, Inc. becomes a member of the
